Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Ark Academy platform (“Platform”), operated by Ark Academy, LLC (“Ark Academy,” “we,” “us,” or “our”). By creating an account, clicking “I Accept,” or accessing the Platform, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not access or use the Platform.

2. Description of Services

The Ark Academy Platform is a Family Office Operating System™ (“FOOS™”) — a structured coaching and educational platform designed to help entrepreneur families organize their financial leadership across advisors, entities, taxes, estate planning, and wealth. The Platform provides access to structured playbooks, financial planning tools, document management, coaching sessions, and AI-assisted features (collectively, “Services”). Ark Academy provides organizational coaching and educational content — it does not provide licensed financial, tax, legal, or investment advisory services.

3. Account Creation and Registration

To access the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at academy@arkfinancial.com of any unauthorized use. Ark Academy reserves the right to refuse registration or cancel accounts at our sole discretion. You may not share your account with any other person.

4. Subscription Plans and Billing

The Platform is offered under the following subscription tiers:

• Builder — $497/month. Self-directed access to the Family Office Operating System™ playbooks, financial tools, and platform.
• Navigator — $1,197/month plus a one-time onboarding fee of $3,000. Includes dedicated Ark coach assignment and full FOOS™ program.
• Navigator+ — $3,000/month plus a one-time onboarding fee of $10,000. Premium tier with expanded coaching, priority access, and advanced planning tools.

Subscription fees are billed in advance on a monthly basis as selected at enrollment. One-time onboarding fees are due at the time of enrollment. All fees are non-refundable except as expressly stated herein or required by applicable law.

4.1 Price Changes. Ark Academy reserves the right to modify subscription pricing. You will receive at least 30 days’ advance written notice by email before any price change takes effect. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.

4.2 Failed Payments. If your payment fails, access to the Platform may be suspended immediately. A $30.00 returned payment fee may apply. Ark Academy will make reasonable attempts to retry the payment before suspending access.

5. Cancellation and Refund Policy

You may cancel your subscription at any time through the account settings page. Upon cancellation, your access continues through the end of your current billing period. No refunds will be issued for partial months, unused time, or any subscription fees already paid. One-time onboarding fees are non-refundable under all circumstances. If you initiate a chargeback or payment dispute without first contacting Ark Academy to resolve the matter, you agree that liquidated damages of $1,500 may apply to cover administrative costs of the dispute process.

6. Payment Processing

Payment processing services are provided by Square, Inc. (“Square”). By providing payment information, you authorize Ark Academy and Square to charge your payment method for applicable fees. Your payment information is transmitted directly to Square and is subject to Square's Terms of Service and privacy policies. Ark Academy does not store full payment card details on its servers.

7. Not Financial, Tax, or Legal Advice

8. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates applicable law or regulation
• Share your account credentials with any third party
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Scrape, harvest, or systematically extract data from the Platform without written consent
• Upload or transmit viruses, malicious code, or any other harmful technology
• Use the Platform to provide competing services or to reverse-engineer our software
• Impersonate any person or entity or misrepresent your affiliation with any person
• Screen record, screenshot, or reproduce proprietary Platform content — including playbooks, frameworks, and training materials — for distribution outside your household

Violation of these standards may result in immediate suspension or termination of your account.

9. Intellectual Property

All content on the Platform — including but not limited to text, graphics, logos, playbooks, course materials, the Family Office Operating System™ (FOOS™) framework, financial frameworks, and software — is owned by or licensed to Ark Academy and is protected by applicable intellectual property laws. “Family Office Operating System” and “FOOS™” are trademarks of Ark Academy, LLC. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for your personal or internal family business purposes during your active subscription. You may not reproduce, distribute, publicly display, modify, or create derivative works of any Platform content without express written permission from Ark Academy.

10. User Content

You retain ownership of any documents, data, or content you upload to the Platform (“User Content”). By uploading User Content, you grant Ark Academy a limited license to store, process, and display that content solely to provide the Platform services to you. You represent that you have the right to upload all User Content and that it does not violate any third-party rights. Upon termination of your account, you have 30 days to export your User Content through the Platform's data export feature. After that period, User Content may be deleted.

11. AI Features and Automated Tools

Certain Platform features — including the Family Vision Statement generator, document classification, session note summaries, and any future AI coaching assistance — are powered by artificial intelligence and large language model technology (“AI Features”).

11.1 AI Disclaimer. AI-generated output is not financial, tax, legal, accounting, insurance, or professional advice of any kind. AI output may be inaccurate, incomplete, or outdated. You are solely responsible for verifying AI-generated content with qualified licensed professionals before acting on it.

11.2 AI Interaction Records. Your interactions with AI Features may be logged as part of your client record to support coaching continuity and platform improvement. These logs are subject to our Privacy Policy.

11.3 AI Data Use. Ark Academy may use anonymized, aggregated data from AI interactions to improve Platform features. No personally identifiable information is used for AI training without separate written consent.

12. Multi-Factor Authentication

Coach (advisor) and administrator accounts are required to enroll in multi-factor authentication (MFA) using a TOTP-compatible authenticator application (e.g., Google Authenticator, Authy, or 1Password). Enrollment is prompted automatically on first login. Failure to complete enrollment will block access to protected Platform features. Client accounts are encouraged but not required to enroll.

13. Privacy and Data Security

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement reasonable technical and organizational measures to protect your data, including AES-256-GCM encryption for sensitive vault data, TLS encryption in transit, and row-level security on all database records. Our technology partners include Supabase (database and authentication), Vercel (hosting), Anthropic (AI features), Square (payments), Resend (email), and Sentry (error tracking). No method of transmission over the internet is 100% secure.

14. Disclaimers and Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ARK ACADEMY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARK ACADEMY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ARK ACADEMY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ARK ACADEMY'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ARK ACADEMY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

16. Term and Termination

These Terms are effective from the date you first access the Platform and remain in effect until terminated. You may terminate your account at any time through account settings or by contacting us at academy@arkfinancial.com. Ark Academy may suspend or terminate your access at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform immediately ceases. You have 30 days post-termination to export your data. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, and dispute resolution — shall survive.

17. Dispute Resolution and Arbitration

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (“Dispute”) that cannot be resolved informally shall be resolved by binding arbitration administered by the Institute for Christian Conciliation under its applicable rules, or alternatively by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted on an individual basis — class action proceedings are expressly waived.

Informal Resolution First. Before initiating arbitration, you agree to contact us at academy@arkfinancial.com and attempt to resolve the Dispute informally for at least 30 days.

Exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. To the extent any Dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

19. General Provisions

Modifications. Ark Academy reserves the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Platform or by email. Continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. For returning users, we will prompt re-acceptance through the Platform at next login.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ark Academy regarding the Platform and supersede all prior agreements.

No Waiver. Ark Academy's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
